  • Your Role and Responsibilities
  • Key responsibilities include:

    • Providing legal support on a broad range of corporate matters, including transactions such as mergers, de-mergers, acquisitions, and divestitures (assets or share deals).
    • Supporting the Board of Directors on corporate law matters.
    • Offering legal support to Italian clients across all lines of business.
    • Drafting, reviewing, and negotiating commercial and public contracts, including public tenders and contracts related to corporate transactions.
    • Collaborating with other specialists in areas like compliance, privacy, and competition.
    • Engaging with executives and working collaboratively within the Italian Legal team and across IBM's global Legal Department.
  • Required Technical and Professional Expertise
    • Italian lawyer with at least 5-6 years PQE in a reputable commercial law firm or in-house in an international environment.
    • Strong knowledge of corporate law and transactions.
    • Good understanding of commercial and public sector contract law, intellectual property, and antitrust law. Experience with corporate matters and transactional support in Italy or with Italian operations.
    • Proven experience in drafting, negotiating, and vetting complex commercial contracts.
    • Excellent Italian (written and spoken) and proficient legal and business English skills.
    • Ability to prioritize and manage deadlines in a fast-paced environment.
    • Ability to communicate legal concepts clearly and persuasively across different levels.
    • Autonomous work ethic combined with team collaboration skills and relationship-building abilities.
    • Self-motivated, highly ethical, proactive, and customer-oriented with strong business acumen.
    • Flexible, agile, and capable of multitasking and adapting to changing requirements.
    • Open to innovation, continuous learning, and professional development.
    • Strong commitment to integrity and alignment with IBM's values and mission.
    • Italian native speaker.
  • Preferred Technical and Professional Expertise
    • Qualified in an EU member State or country.
    • Additional language skills beyond Italian and English are advantageous.
    • Experience or focus in ICT industry, regulated markets, or in-house legal roles is a plus.
