Be Our Next Corporate Affairs Manager
We are seeking a highly skilled and detail-oriented Corporate Affairs Manager!
In this role, you will oversee the management of corporate bodies (Shareholders’ Meeting, Board of Directors, Committees), ensuring accurate documentation, timely convocations, and proper record-keeping. You will be responsible for maintaining corporate documentation and, in collaboration with the Finance team, supervise the publication of financial reports, privileged information, and related-party transactions—ensuring transparency, accuracy, and full regulatory compliance, including with FIGC, LEGA, and UEFA requirements. You will also work closely with internal functions and external stakeholders to align with governance best practices.
What You’ll Be Responsible For
- Corporate Governance: Coordinate activities of corporate bodies (Board of Directors, Committees, Shareholders’ Meeting, Board of Statutory Auditors), including scheduling, agenda preparation, coordination among secretaries, drafting minutes, and maintaining corporate records
- Governance Reporting: Manage timelines for preparing the Control and Risk Committee Report (CRC), Corporate Governance Report, Remuneration Report, and CSRD documentation, in collaboration with relevant departments
- Regulatory Compliance: Monitor and implement legal and regulatory obligations, including license management (FIGC/LEGA/UEFA), powers of attorney, and authorizations required by supervisory bodies and industry authorities
- Disclosure Documentation: Draft and publish explanatory reports in coordination with relevant functions, in accordance with applicable regulations
- Corporate Documentation & Financial Reporting: Responsible for preparing and transmitting corporate documentation and supporting the publication of periodic financial reporting, ensuring transparency and compliance with listed company disclosure requirements
- Insider Information Management: Support internal procedures for managing privileged and material information
- Related-Party Transactions: Assist in defining and applying procedures for related-party transactions, ensuring transparency and fairness in intra-group and stakeholder relations
- Cross-Functional Collaboration: Work closely with internal departments (e.g., Legal, Finance, Investor Relations) and external stakeholders (e.g., supervisory authorities, notary offices, consultants, investors) to ensure alignment with governance best practices
- Policy & Process Development: Contribute to the development of corporate policies and governance processes, with a focus on regulatory evolution and ESG standards
- Legal Support: Assist the Legal function in drafting civil and commercial contracts
What Are We Searching For
Qualifications
- Single-cycle Master’s Degree in Law or related disciplines
- A solid experience (minimum 5 years) in corporate and legal affairs, preferably gained within listed companies, with proven expertise in the operational management of corporate bodies, including the organization and support of shareholders’ meetings
- Previous experience in the football industry will be considered a plus
Technical Skills
- Fluency in both Italian and English is mandatory
- Strong knowledge of corporate law and regulations applicable to listed companies, with specific reference to the Italian Consolidated Law on Finance (TUF), CONSOB regulations, and Borsa Italiana provisions on governance and transparency
- Experience in drafting, reviewing, and managing legal and corporate documentation, including minutes, resolutions, reports, and documents intended for corporate bodies and the market
- Expertise in corporate governance processes, with the ability to manage information flows to corporate bodies and ensure the adequacy of internal compliance procedures.
- Advanced proficiency in Microsoft Office Suite (Word, Excel, PowerPoint) and familiarity with document management systems and authorization workflow platforms (e.g., DMS, board portals)
- Knowledge of sports regulations applicable to professional football clubs, particularly those issued by FIGC, LEGA Serie A, and UEFA, is considered a plus
