For the Central Team of Generali Global Corporate & Commercial (GC&C), we are looking for a Senior Legal Counsel who will support GC&C by managing legal and regulatory risks and providing high‑quality, pragmatic legal advice across complex and international business activities. Acting as a trusted business partner, the role ensures compliance with applicable laws, regulations, and Generali Group policies, while contributing to strategic initiatives and enabling informed decision‑making. The position works closely with local legal teams and key internal and external stakeholders to deliver consistent, efficient, and business‑oriented legal support across jurisdictions.

Main Responsibilities

Legal Advisory & Business Support

  • Provide proactive legal advice to GC&C functions on a broad range of matters, including insurance, reinsurance, retrocession, IT contracts, outsourcing, and related commercial activities.
  • Support extraordinary transactions and strategic initiatives, including M&A, partnerships, and complex corporate projects.
  • Act as a legal point of reference for GC&C, ensuring timely, clear, and solution‑oriented advice aligned with business objectives.
  • Coordinate with local legal teams to ensure consistent legal approaches and effective cross‑border support.
  • Liaise with internal stakeholders, external counsel, notaries, and other advisors in relation to corporate filings, formalities, and transactional matters.

Legal & Regulatory Risk Management

  • Identify, assess, and advise on legal, regulatory, and reputational risks affecting GC&C activities, supporting risk‑aware decision‑making.
  • Monitor and analyse legal and regulatory developments, with particular focus on insurance, reinsurance, licensing, and related regulatory frameworks.
  • Manage non‑claims litigation in coordination with relevant internal functions and external counsel, with the objective of mitigating risk and controlling costs.
  • Oversee external legal advisors and service providers, ensuring quality of advice, efficiency, and cost‑effectiveness.
  • Support the interpretation and implementation of Group Legal policies within GC&C.
  • Contribute to and facilitate internal training initiatives aimed at strengthening legal awareness and compliance across GC&C.

Contract Drafting, Negotiation & Legal Processes

  • Draft, review, and negotiate complex international and cross‑border commercial agreements, including commercial and distribution agreements such as NDAs, MSAs, SOWs, sponsorship agreements, reinsurance and retrocession agreements, binding authority agreements, and broker TOBAs.
  • Ensure contractual arrangements appropriately reflect risk allocation, regulatory requirements, and Generali Group standards.
  • Develop, maintain, and continuously improve legal tools, templates, and processes, including contract templates, deal implementation workflows, and contract repositories.
  • Contribute to the adoption and effective use of legal tech and innovative solutions (including AI‑enabled tools) to enhance efficiency, quality, and scalability of legal support.

Requirements

  • Master’s Degree in Law.
  • Qualification to practise law in Italy or another EU jurisdiction.
  • 7-10 years of experience as a corporate/commercial lawyer, gained in an in‑house role (preferably within a multinational organisation) and/or at a reputable international law firm.
  • Solid experience in advising on complex commercial matters and working closely with business stakeholders.
  • Strong analytical, problem‑solving, negotiation, and decision‑making skills, with sound legal judgement.
  • Excellent communication and relationship‑building skills, with the ability to operate effectively in a matrix and multicultural environment.
  • Ability to manage multiple priorities independently and to work effectively under pressure.
  • Excellent written and spoken English, which is the primary working language.
  • Willingness to travel, as required.

Preferred Qualifications

  • Background in insurance and reinsurance law, particularly in B2B and international or cross‑border commercial arrangements.
  • Experience in highly regulated and complex international environments.
  • Fluency in at least one additional language (especially Italian) is an advantage.
  • Experience with legal tech tools, including AI‑enabled solutions and legal prompting techniques.
